Shawn Whitney is dedicated to structuring low-income housing, historic rehabilitation, and new markets tax credit transactions. He represents developers, investors, syndicators, lenders and Community Development Enterprises (CDEs).

Shawn’s primary practice focus is representing all aspects of a tax credit financed transaction.  His diverse expertise ranges from extensive experience in all of the aforementioned tax credit programs.  In the New Market Tax Credit representing CDE’s on the deployment of New Markets Tax Credit allocations, Qualified Active Low Income Community Business, and equity investors deployment of capital.  He also has a passion for affordable housing representing a lender in the financing of hundreds of millions of dollars of LIHTC construction and permanent debt for both 4% and 9% deals.  He also actively represents LIHTC developers throughout the country.  Finally, he has enjoyed being involved in a billion dollars of historic rehabilitation projects utilizing federal and state historic tax credits on both the development and financing side.  Many of his projects also utilizes other incentives such as tax abatements/exemptions, and tax increment financing.

Shawn’s experience includes:

  • Represents historic tax credit construction and bridge lenders
  • Represents lenders in solar financed projects
  • Extensive experience dealing with state tax credit issues and twinned projects.
  • Closes both 4% and 9% low-income housing tax credit projects
  • Works with clients to layer HOME funds, nonprofit grants, and NMTC leverage loans into difficult-to-develop projects
  • Wide-range experience representing developers of a continuum of care facilities, often including raising millions of dollars in private equity
  • Closed dozens of HUD 223(f) and 221(d)(4) transactions
  • Qualified Opportunity Fund formation

As well as his focus on the development side of tax credit projects, he regularly represents federal tax credits syndicators/investors with (i) acquisition and disposition of projects subject to LIHTC land use restriction agreements; and (ii) general partner removal issues. Shawn also represents clients on the acquisition and disposition of large multifamily complexes throughout the country and is experienced with student and senior housing development.

  • Represents lender on large scale 4% tax exempt financing transactions in multiple states
  • Represents CDE’s in the deployment of large New Markets Tax Credit allocation.
  • Represents lenders on many low-income tax credit construction-to-permanent loans.
  • Represented QALICB on adaptive reuse of large middle school building into nation’s largest business incubation space utilizing New Market Tax Credits and state and federal historic tax credits.
  • Represented developer on adaptive reuse of historic building using 4% tax-exempt bond financing, HOME funds, state and federal Historic Tax Credits, and brownfield grant.
  • Represented developer on adaptive reuse of historic school building using New Market Tax Credits, State and Federal Historic Tax Credits, and affiliated leverage loan structure into state university classroom, housing, and business incubation space.
  • Represents historic tax credit syndicator on investments into historic rehabilitation projects in multiple states. This representation includes drafting of all germane equity documents arising out of the admission of the fund into the project’s ownership structure and due diligence review.
  • Represents developers, lenders, and investors on senior, student, and multi-family housing projects.
  • Represent privately held REIT on the acquisition of $100 MM plus of multifamily projects throughout the Midwest
  • Adaptive reuse of historic buildings into boutique hotels utilizing federal and state historic tax credits, tax abatements, and other municipal incentives
  • Represent national LIHTC developer/syndicator with the removal of GP on various projects throughout the country
  • Represent developer in the adaptive reuse of national coffee manufacturer building into lofts apartments utilizing state and federal historic tax credits and tax abatement
  • Represent developer of senior housing projects in the Midwest utilizing TRS lease structure
  • Represent LIHTC developers on 4% and 9% projects in New York, Iowa, Oklahoma, Colorado, Missouri, and Utah
