Todd Betke has over 20 years of experience representing domestic and international private equity and venture capital funds, hedge funds, real estate funds, funds-of-funds and Small Business Investment Companies in connection with the formation, operation, restructuring and liquidation of such funds. He also has extensive experience working with the general partners and management companies of private funds in connection with the formation and operation of such entities. In addition, Todd has substantial experience representing private funds in connection with acquisitions and dispositions of portfolio investments. He also regularly advises funds of funds and other institutional investors in connection with investments in private funds.

Todd also regularly counsels a wide variety of corporate clients, including large publicly traded corporations, banks and bank holding companies, privately held entities, start-up companies and entrepreneurs on a wide variety of transactional and corporate governance matters in the United States and foreign countries.

  • Represented over ten fund managers in connection with the formation, licensing and operation of SBIC funds targeting a range of debt, mezzanine and equity investments in growth and middle market companies located throughout the U.S.
  • Represented funds of funds and institutional investors in connection with over 35 investments in underlying hedge funds, private equity funds and venture capital funds.
  • Represented $1 billion clean energy fund in connection with fund restructuring in cooperation with counsel to leading national and international investors.
  • Represented a series of six private equity funds targeting investments in India, with over $2 billion under management.
  • Represented $230 million “seeding” fund in connection with formation of fund and with anchor investments in underlying funds and management companies.
  • Represented fund managers in connection with formation of funds formed to invest in properties located in Opportunity Zones.
  • Represented institutional investors in connection with investments in eight real estate joint ventures, including five projects located in Opportunity Zones.
