Andrew Raby advises private fund sponsors and investment managers on the fund, adviser and regulatory issues that shape alternative investment platforms. He works with sponsors of hedge funds, private equity funds, real estate funds, venture capital funds, commodity pools, funds of funds and related vehicles, counseling on formation, structuring and operation of private investment funds and their management companies.

Andrew’s fund counsel includes terms and provisions, managed account platforms, co-investments, offering documents, marketing materials and investment advisory agreements. He also advises pension plans, endowments, foundations and other institutional investors on alternative investments.

Andrew counsels investment advisers and related entities on compliance with federal securities and commodities laws, including the Investment Advisers Act, Investment Company Act, Commodity Exchange Act, Dodd-Frank Act and Regulation D. His regulatory work also includes matters involving the Securities and Exchange Commission, Commodity Futures Trading Commission and CFTC registration.
