  • Represented a large nonprofit health system and one of its licensed clinics in a joint venture with a radiology group involving imaging centers in California.
  • Assisted several hospital systems in purchases of physician practices, including advice on corporate structuring for physician integration and physician compensation methodologies.
  • Represented buyer in its acquisition of behavioral health care practices in California, New York, Colorado and New Mexico, including formation and corporate structuring of management services organizations and support of practice group entities.
  • Advised large health systems, medical groups and other health care providers on operations, including review of corporate practice of medicine doctrines, state fee splitting and anti-kickback laws, state self-referral statutes and licensing requirements.
  • Represented private equity buyer in its multi-million dollar acquisition of a large fertility practice, related ASC and laboratory.
  • Represented physicians and hospitals in negotiating physician employment arrangements and independent contractor arrangements with physicians.
  • Represented a joint venture comprised of two large health systems in an effort to expand and improve access to cancer treatment and certain ancillary health care services across a broader geographic region.
  • Served as corporate and regulatory counsel for South Bay Family Health Care in connection with its successful merger with and into Venice Family Clinic. South Bay Family Health Care was one of the oldest and most respected Federally Qualified Health Centers (FQHC) in California and merged with Venice Family Clinic, also a well-established and very well-respected FQHC.
