Representing Chemical Manufacturers
- Transactional matters, including mergers and acquisitions, joint ventures and other complex commercial transactions.
- Negotiating and drafting billions of dollars of commercial agreements related to virtually all aspects of a chemical manufacturer’s business from selling manufactured chemical products, to purchasing raw materials to make chemical products.
- Transportation and logistics issues, including the representation of chemical shippers in matters before the Surface Transportation Board, Federal Aviation Administration, Federal Highway Administration, Pipeline and Hazardous Materials Safety Administration, and Federal Railroad Administration, the negotiation and preparation of various transportation agreements and rolling stock agreements, and representing chemical shippers in negotiations and disputes with railroads.
- Litigation, including commercial, antitrust, construction, environmental (CERCLA, RCRA, defense of enforcement actions, challenging regulations), toxic tort (asbestos, benzene, and other product exposure cases), environmental mass torts, and class actions (defense of claims by landowners or injuries allegedly arising from environmental or workplace exposure).
- Real estate, including the development, design, and construction of chemical facilities. We have represented both lessors and lessees of real estate used for chemical facilities. We have provided assistance with easements, and have assisted with risk allocation such as indemnity, insurance, and environmental contamination.
- Regulatory compliance and permitting issues at the state and federal level, including Environmental Protection Agency, Department of Transportation, and Occupational Safety and Health Administration, and Federal Insecticide, Fungicide and Rodenticide Act regulatory compliance.
- Intellectual property, including patent and trademark prosecution, licensing, assistance with developing intellectual property strategies, and management of intellectual property portfolios.
