Matt Miller represents health care organizations, private equity investors and life sciences companies in complex transactions that reshape provider platforms, expand care delivery networks and position businesses for long-term growth. He advises clients on mergers and acquisitions, joint ventures, equity investments and strategic reorganizations, with a particular focus on transactions involving highly regulated health care and life sciences businesses.

His practice combines transactional execution with a practical understanding of the regulatory and operational issues that shape health care and other regulated businesses, including antitrust considerations, Stark Law and Anti-Kickback Statute compliance, government contracting and licensure issues. In the life sciences space, he frequently guides clients through complex licensing and collaboration agreements, clinical trial arrangements and intellectual property-driven joint ventures that navigate the unique intersection of regulatory hurdles and commercial strategy. Matt also counsels private equity sponsors and portfolio companies on corporate governance, fund formation, securities compliance and venture capital transactions, including convertible debt financings, equity investments and incentive-based compensation arrangements.

A frequent author and speaker on legal and business issues, Matt’s commentary and writings have appeared in Bloomberg Law, Law360, the Nashville Business Journal and Thomson Reuters’ Health Law Handbook.

Prior to joining Polsinelli, Matt was a partner in the health care practice of an AmLaw 50 law firm. Before entering law practice, he served as an officer in the United States Navy and Navy Reserve.
