Polsinelli Represents Harrow in Agreement to Acquire TYRVAYA® Nasal Spray
Polsinelli recently represented Harrow, Inc. (Nasdaq: HROW), a leading provider of ophthalmic disease management solutions in North America, in connection with its definitive agreement to acquire global rights to TYRVAYA® (varenicline solution) nasal spray 0.03 mg from Viatris.
The acquisition, when completed, will expand Harrow’s dry eye franchise by adding the first and only FDA-approved nasal spray for dry eye disease alongside the company’s flagship VEVYE® (cyclosporine ophthalmic solution) prescription eye drop product. Because TYRVAYA uses a different mechanism of action and is administered as a nasal spray rather than an eye drop, the acquisition will give Harrow a broader range of differentiated treatment options for physicians and patients.
Polsinelli supported Harrow by leveraging its focused life sciences transactional and intellectual property experience to this matter.

Under the terms of the agreement, Harrow will pay $30 million in cash at closing and up to $70 million in contingent milestone payments tied to TYRVAYA net sales, for potential total consideration of up to $100 million. The transaction is expected to close in the second half of 2026, subject to customary closing conditions.
