  • Represented private equity-backed, national, secured data center company in connection with its initial stock acquisition, various financings, and day-to-day management of legal affairs.
  • Served as breach counsel to a university following a brute-force password attack resulting in the compromise of personally identifiable information (PII) of over 60,000 students, alumni, and employees residing in more than 40 states and several foreign countries.
  • Devised cost-effective health care delivery arrangements for clients in the health and welfare area on a self-insured and fully insured basis, factoring in applicable state and federal legal requirements wherever necessary.
  • Represented major Renewable Energy developer as lead regulatory counsel in the development, implementation, and construction of a multibillion-dollar 780-mile 600 kV HVDC transmission project spanning four states.

  • Acted as general counsel for a major U.S. wind developer, and represented it in every aspect of development, construction, sale of power (such as purchase power agreements and asset sales), construction and finance issues, and other issues involved in the construction and operation of wind farm developments.
  • Represented real estate private equity fund sponsor in the formation of a blockchain-enabled, tokenized feeder fund.
  • Represented leading U.S. digital currency trading platforms and blockchain technology firms before the Department of Justice, the SEC, and the CFTC in investigations and enforcement actions.
  • Advised digital asset issuers and exchanges on intellectual property matters, including patent strategy and prosecution.

  • Prepared and negotiated primary outsourcing and ancillary agreements relating to a national hospital and health care group outsourcing the vast majority of its IT functions and operations to a third-party vendor.
  • Drafted and negotiated a SaaS agreement between a national hospital and health care provider and a global information and research services company to provide authentication data and services that the provider can use to better authenticate users of potential new products or services.
  • Created a suite of template agreements for a start-up health care management technology platform provider, including platform licensing agreement, portal terms of use and privacy policy, and EULA, all designed to be HIPAA and other health care regulation-compliant.
  • Drafted form “big data” license and co-development agreement for use with a hospital system’s enterprise data warehouse.
  • Drafted and negotiated hosted software solution agreement for a nursing and palliative care technology platform provider.
  • Negotiated syndicated patent acquisition and licensing deal that resolved ongoing patent litigation with nine defendants and resulted in acquisition of more than 180 patents pertaining to display technology used in smartphones and other personal digital devices.
  • Prepared program documents and provided legal analysis regarding two separate all-electric vehicle carsharing programs offered in select markets, including one which involved a public-private partnership.

  • Represented an early-stage venture fund in connection with receiving liquidity in a tender offer to early investors ancillary to a growth equity investment by a private equity fund.

  • Represented Dive Technologies, Inc. a Boston-based subsea robotics designer and manufacturer, in a new round of preferred stock financing totaling $4 million.
  • Represented  Hull, Inc. a client data management company in the acquisition of MessageBird, the Amsterdam-based leader in omnichannel communications.
  • Represented Stream.io, Inc. a software company located in Boulder, Colorado in its $38 million Series B Financing.
  • Represented MDaaS Global Corp. a healthtech company building and operating a network of modern, tech-enabled diagnostic centers across Nigeria, in its $2.3 million financing.
  • Represented Motif FoodWorks, Inc. a food technology company providing ingredients for plant-based manufacturers on its $226 million Series B funding round which is the largest food technology financing to date.
  • Represented Yummy Inc., a super app that provides delivery and ridesharing services across Venezuela and other Latin American countries in its $18 million Series A Financing.
