• Represented Tompkins Financial Corporation in the sale of its insurance subsidiary, Tompkins Insurance Agencies, to A.J. Gallagher.
• Represented Sports Entertainment Acquisition Company, a former SPAC, in its business combination with Super Group.
• Represented Beam Therapeutics in its acquisition of Guide Therapeutics.

Capital Markets Transactions

• Represented issuers and underwriters on over twenty special purpose acquisition company (“SPAC”) initial public offerings, representing an aggregate of over $3 billion in issuances.
• Represented Hayward Industries and a selling stockholder in multiple secondary offerings of common stock, both registered and unregistered, generating aggregate proceeds of approximately $600 million.
• Represented LSB Industries in its $310 million preferred stock exchange.
