Ephraim Hintz focuses his practice on technology transactions, data privacy, intellectual property licensing and advising clients on the legal aspects of emerging technologies. He counsels clients across a wide range of industries, including artificial intelligence, SaaS, cloud services, public transit, defense technology, healthcare and e-commerce.

Ephraim is a trusted advisor to early-stage (seed) startups, high-growth startups and global private and public enterprises, guiding them through the development, commercialization and protection of their technology assets while navigating regulatory complexity and legal risk. Ephraim acts as outside general counsel for early-stage startups, where he helps guide startups through formation, financing and exit transactions.

Ephraim drafts and negotiates complex commercial agreements involving software development, licensing, cloud-based services (SaaS/PaaS/IaaS), IT outsourcing and strategic partnerships, including, but not limited to, cloud-computing agreements, SaaS Agreements, IP development agreements, IT outsourcing agreements, inbound and outbound IP licensing agreements, master service agreements, reseller agreements and research agreements. Ephraim regularly advises on intellectual property strategy and risk as part of M&A activity.

Ephraim is a Certified Information Privacy Professional/United States (CIPP/US) from the International Association of Privacy Professionals (IAPP). Ephraim uses a risk-based approach to advise clients on their enterprise-wide privacy contractual and/or regulatory obligations, including, but not limited to, GDPR, CCPA, CPRA, COPPA and HIPAA.
