Harsha Sekar represents private equity sponsors and sponsor-backed borrowers in highly negotiated debt finance transactions, including leveraged acquisition financings, recapitalizations, refinancings, liquidity facilities and other sponsor-led financing structures. He also advises sponsors, credit funds and other institutional market participants on complex fund finance arrangements, including subscription lines of credit, NAV facilities, asset-based lending facilities and hybrid facilities.

Harsha works across the full life cycle of private credit transactions, helping clients navigate commitment papers, credit agreements, collateral structures, intercreditor arrangements, covenant packages, closing mechanics, amendments, waivers and other strategic issues that arise before and after closing. He brings a practical understanding of the business, legal and execution issues that matter to general partners, investment professionals and portfolio company teams in competitive financing processes.

Harsha’s fund finance practice is informed by extensive experience working with private credit funds and their managers, including closed-end funds, business development companies and other permanent capital vehicles, rated debt feeder funds, and other bespoke, credit-focused investment funds. He counsels clients on structures designed to support acquisitions, portfolio liquidity, fund-level leverage, asset-based borrowing and other capital needs. In addition to his core finance practices, Harsha advises on select investment fund and public-sector investment platform matters. Since 2020, he has represented the State of Colorado in connection with the formation and capitalization of the State’s CLIMBER Loan Fund, which seeks to deploy $250 million in capital to Colorado small businesses. Harsha currently serves as general counsel to the Centennial State Liquid Investment Pool (CSLIP), one of Colorado’s four local government investment pool trust funds.

Harsha supports a number of Denver-area nonprofit organizations and has served on multiple boards. He is a very active private debt investor and angel investor, providing him with valuable, first-hand insight into his clients’ perspectives.
