- Represented developers, lenders, investors and suppliers in renewable energy projects across the country representing more than 10,000 megawatts in operation and under development in wind, solar and battery storage projects.
- Extensive experience managing transaction teams in energy related acquisitions, divestitures, financings and other strategic transactions, including legal management of: due diligence review; loan and/or tax equity documentation; federal, state and local regulatory issues and filings; real estate review and diligence; project permitting and land use matters; preparation, negotiation and filing of mortgages and security documents; and preparation and negotiation of necessary legal opinions.
- Serving as outside general counsel to multiple clients by providing and managing commercial contracting and sourcing support, including reviewing, drafting and negotiating supply and service agreements for both vendors and purchasers spanning a wide range of industries.
- Served as outside commercial counsel in connection with a $5 billion acquisition by a publicly traded manufacturing client. Primary responsibilities included advising on complex commercial issues and contracts affecting more than a dozen global manufacturing facilities, including post-closing integration and operational issues.
- Represented leading renewable energy developer in tax equity financings of numerous wind projects in Colorado, Kansas and Missouri, totaling more than 2,000 megawatts and more than $3 billion in financings.
- Represented solar developer in the development and financing of 160 MW solar project in Georgia.
- Representing solar investment fund in multiple loans, totaling more than $100 million, to solar developers to finance ongoing development of utility-scale solar projects in multiple Northeastern and Midwestern states.
- Represented international renewable energy company in tax equity financing of 278 MW wind project in Illinois.
- Represented community solar developers in the development, construction and financing of a portfolio of community solar projects in Colorado.
- Represented solar developer in the development, construction and financing of solar projects in Arizona.
- Represented a public utility in connection with the negotiation and simultaneous announcement of the sale of four separate electric and gas utilities for aggregate transaction proceeds in excess of $1 billion.
- Represented electric cooperative in sale of electrical distribution assets in Oklahoma.
- Represented lenders in the financing of a 23 million gallons per year integrated biomass to cellulosic ethanol facility in Kansas.
- Represented a Singapore-based oil and gas exploration and production company in its investment, participation, and joint operations of producing properties and working interests in over 60,000 acres in Colorado and North Dakota with a Norwegian oil and gas company.
- Represented independent oil and gas company in a private offering to fund oil exploration and production activities in Saskatchewan, Canada.
- Represented international chemical company in the purchase of its joint venture partner’s 50 percent interest in a company that manufactures and markets materials for the production of semiconductors in the United States, Europe, and Asia.
- Represented New York Stock Exchange listed company in a $278 million acquisition of its largest franchise group.
