• Represented a commercial banking firm in the negotiation and renewal documentation of a $620 million loan for a skilled nursing facility.
• Represented a banking institution in a $250 million senior secured revolving loan with a $50 million accordion to a REIT and servicer joint venture related to a portfolio of 48 skilled nursing facilities.
• Represented a leading commercial real estate finance company in connection with bridge to HUD financing for $50 million for three skilled nursing facilities involving complex account structures, intercreditor agreements, and reimbursement programs.
• Represented a leading regional bank in connection with a $45 million loan to acquire 14 skilled nursing facilities and participations with other lenders.
• Represented an international bank in connection with the $45 million refinancing of behavioral health facilities in Indiana and Pennsylvania.
• Represented a Chicago-based American commercial bank in connection with a $70 million term loan to refinance existing debt, cover closing costs and provide disbursement to owners of a skilled nursing facility in New York.
• Served as borrower's counsel to a leading long-term care operator in connection with a $250 million refinance of 25 senior living facilities in various states nationwide.
• Represented a regional bank in the $130 million loan refinancing and purchase of five skilled nursing facilities in Washington and California.

Health Care Transactional

• Represented a New York-based provider of physical therapy and wellness services in the sale to a private equity-backed, leading outpatient rehabilitation provider in the Northeast specializing in physical therapy, occupational/hand therapy, pediatric therapy, and speech language pathology.
• Represented Ortho Rhode Island, Inc. in its sale to Spire Orthopedic Partners – one of the nation’s largest orthopedic platforms in one of the largest orthopedics deals in the country. Polsinelli advised in all aspects of the transaction.
• Represented a Florida-based medical practice that specializes in medical, surgical and laser treatment of retinal, vitreous and macular diseases in negotiations with a private equity acquirer.
• Represented headache practice with joint venture and sale to hospital system and related labor and employment and regulatory matters.

Health Care Compliance/Operational/Regulatory

• Represented Colorado-based senior living provider in licensure and regulatory matters related to six joint ventures involving ownership of senior living facilities in Massachusetts, Pennsylvania, and Maryland.
• Represented hospitals and health systems with Medicare, Medicaid, guardianship, fraud and abuse, data privacy and security, and regulatory matters.
• Represented senior living owner/operator with healthcare, corporate, and regulatory matters, including group purchasing organization (GPO) and related compliance issues.
• Represented a senior living provider operating in three states with the development of a gift policy, conducted related staff training, and prepared corresponding fraud and abuse analyses.
• Represented a health care provider in connection with administrative corporate matters, media inquiries, and joint venture issues related to dietary programs and services, including resolution of non-payment disputes stemming from undocumented status changes and level of care modifications.
• Represented an Illinois-based provider of pharmacy, pharmacy consulting and nursing services to long-term care facilities in regulatory and fraud and abuse analysis related to joint venture matters for pharmacies in Missouri and Illinois.
• Represented a Philadelphia-based Continuing Care Retirement Community with survey response and related regulatory issues.
• Represented a healthcare network in litigation against a third-party claims processor for damages arising from the processor’s failure to timely process claims and provide assistance with denials. The matter was ultimately resolved through a negotiated settlement.
