Commercial Transactions

Preston structures and negotiates complex commercial transactions across the following areas:

• Supply Chain: manufacturing, supply, distribution, logistics, warehousing, consignments, equipment leasing and e-commerce.
• Technology: cloud services, software licensing, intellectual property licensing, product commercialization and outsourcing.
• Sports & Entertainment: sponsorships, venue naming rights, ticket platforms, concerts, celebrity endorsements, influencers, media contracts and facility licenses.
• Services: product development, advertising and marketing, audiovisual production, concessions and consulting services.

Notable experience includes representing an NFL team in over 400 commercial contracts across the United States, Europe and Mexico, negotiating more than $100 million in technology licenses for a major hospital system and representing two major professional sports leagues in sponsorships, stadium licenses, and host city agreements.

Mergers and Acquisitions

Preston advises buyers and sellers on private mergers and acquisitions, with a particular focus on transactions in the $10 million to $200 million range. He leads transactions from initial structuring through due diligence, negotiation and closing.

He also regularly structures and negotiates complex joint ventures involving multiple entities, intellectual property contributions, capital commitments, distribution waterfalls, governance arrangements and exit mechanisms.

Notable experience includes leading multiple acquisitions and joint ventures for a national real estate development firm, advising a national architecture firm on strategic roll-up acquisitions across the United States and representing an animal health company in an equity sale to a private investment firm.
