Commercial and Corporate Litigation Matters

  • Successfully represented plaintiffs who were seeking reinstatement as officers and managers in a limited liability company in an action brough under 6 Del. C. § 18-110 in Delaware Chancery Court.  The Court declared that the plaintiffs had been improperly removed, reinstated the plaintiffs as officers and managers, and awarded them their attorney’s fees under a contractual prevailing party fee shifting provision.
  • Successfully defeated TRO brought in Delaware Chancery Court seeking to enjoin our client’s acquisition of an international precious metals company.
  • Obtained temporary restraining order for client in Delaware Chancery Court to prevent its general partner from removing our client as the manager of a highly visible real estate project in Philadelphia. 
  • Represented defendant in trial in Delaware Court of Chancery concerning post-merger dispute related to alleged breach of representations and warranties.  Obtained successful opinion from the Court in which the Court fully adopted our client’s position regarding damages.
  • Represented plaintiff in Delaware Chancery Court seeking order of specific performance for an order requiring the defendant to complete a sale of its interests in 5 seniors housing and care facilities.  Defeated defendant’s motion to dismiss case which sought to require arbitration in Hong Kong.
  • Successfully represented defendant in Delaware Chancery Court in action brough under 6 Del. C. § 18-111 in which Plaintiff sought an order of specific performance requiring defendant to sell its interests in joint venture to the plaintiff.  After defeating plaintiff’s requested expedited case schedule, plaintiff dismissed its case and defendant obtained a favorable settlement.
  • Represented defendant in books and records actions filed in Delaware Chancery Court. 

Intellectual Property Litigation Matters

  • Jury verdict for patent owner on five of seven patent infringement claims brought against publicly traded orthopedic medical device company in U.S. District Court, District of Delaware, relating to spinal implant systems, covering all accused products and securing an estimated $50 million in damages, to be determined at bifurcated damages trial.
  • Jury verdict for patent owner on breach of contract and contract-related tort counterclaims brought by publicly traded orthopedic medical device company in U.S. District Court, District of Delaware, involving patents covering spinal implant systems. The jury verdict rejected medical device company’s license defense and contract-related and tort claims, with an exposure to patent owner of greater than $30 million, and cleared the case to patent infringement trial on asserted patents.
  • Represented defendant in successful mediation regarding claims for breach of contract and trade secret misappropriation, obtained favorable settlement terms. 
  • Represented defendant in District of Delaware in patent infringement action involving generative artificial intelligence patents, obtained favorable settlement.
  • Represented defendant in Delaware Superior Court, Complex Commercial Litigation Division (CCLD) in trade secrets action related to AI.
