Multiple federal agencies and State Attorneys General have signaled that private equity backed transactions, and particularly PE investments in healthcare, will face new levels of antitrust enforcement. And the new Merger Guidelines (“New Guidelines”) and the proposed changes to the Hart-Scott-Rodino process indicate how the agencies will turn up the scrutiny of such transactions. As a result, our clients face uncharted waters and unprecedented scrutiny in achieving their strategic growth goals. The proposed presentation/conversation will highlight the new changes so that clients will understand how the Agencies will review their deals, provide practical tips on how to manage the new antitrust risk, and outline ways to best position deals to obtain clearance so that they can close on those transactions.
