Having begun her legal career as an in-house attorney, Kathryn Allen has a unique understanding on the needs of an organization when it comes to utilizing technology and intellectual property to promote its business goals.

Kathryn’s practice focuses on the often intersecting areas of information security/privacy, technology licensing/use, and intellectual property protection and monetization. She works in a variety of industries, including the heavily regulated health care and financial services industries as well as the technology startup and entrepreneurial space including craft breweries, software developers and technology outsourcers.

Information Security/Privacy

Kathryn understands the challenges that heavily regulated businesses face when navigating the complex and ever-changing laws, regulations and industry standards that govern the collection, protection and use of information. Kathryn assists clients in fully understanding their legal and regulatory requirements then helps them craft solutions to these issues, including:

• Encouraging clients to view cyber security as an enterprise risk
• Aiding clients in conducting top-to-bottom internal risk assessments
• Developing written information and data security plans that include incident response plans and procedures, addressing corporate communications, media relations and issues management
• Drafting corporate policies and procedures around data privacy and security, infrastructure and business continuity
• Negotiating outsourced privacy and security agreements
• Drafting terms of use and privacy policies for internet entrepreneurs

Technology Transactions

Kathryn has experience representing a wide variety of clients in their technology transactions, intellectual property protection and licensing, data and software licensing/usage, and other transactional matters, including:

• Drafting and negotiating a variety of inbound and outbound licensing agreements, with a focus on data licensing, intellectual property licensing, end user license agreements (EULAs) and master licensing agreements (MLAs)
• Preparing, negotiating and onboarding vendor agreements at both the individual and enterprise-wide levels
• Drafting and negotiating software licensing and hosted solution (SaaS) models, including cloud computing agreements, managed services/private cloud arrangements, infrastructure as a service and storage as a service deals

Intellectual Property

Kathryn provides strategic yet practical guidance in the creation, acquisition, use and commercialization of her clients’ intellectual property, including:

• Counseling on copyright law, copyright registration and enforcement, fair use, and the Digital Millennium Copyright Act (DCMA)
• Selection, clearance, prosecution, enforcement and portfolio management of clients’ trademarks, including international registrations and mark clearances
• Intellectual property joint development agreements
• Custom software development arrangements

Prior to joining the firm, Kathryn was Associate Corporate Counsel for a leading financial services data and analytics company in Dallas, Texas, where she supported over ten different business lines acting in advisory, transactional, and regulatory and compliance oversight capacities.
